Following the enthusiasm from Episode 1, we now dive deeper into what truly determines success (or delay) in Bangladesh: documentation, licensing, and local compliance. This episode is built on real-world processes and examples, giving global freight forwarders an insider’s lens on how to operate successfully here.

Company Setup & Licensing

When a foreign freight forwarding (FF) company enters Bangladesh through a joint venture, the key steps are:

  • Select a local partner (must own at least 51%)
  • Register the JV with RJSC (Registrar of Joint Stock Companies), including MOA and foreign director assignment
  • Send foreign remittance and match with local share injection
  • Open bank account, obtain trade license, TIN and VAT/BIN
  • Apply for Freight Forwarding License from Bangladesh Customs and membership at BAFFA

✅ Timeline: Typically 2–3 weeks if managed professionally
✅ Licenses Needed: RJSC, NBR (VAT), BAFFA
⚠️ Customs Clearance License: Not allowed in foreign entity’s name

“The entire setup can be handled by a capable local partner with legal and operational know-how.”

Documentation & Customs Process: Step-by-Step Customs Clearance via Chattogram Port

  • Document verification by CHA (Customs House Agent)
  • Submission for assessment + noting
  • Physical cargo examination (if required)
  • Final assessment by Customs Officer
  • Duty & Port storage payment
  • Delivery authorization

Required Documents:

  • Commercial Invoice
  • Packing List
  • MBL / HBL
  • Import Permit
  • COO
  • MSDS (if applicable)

Who prepares what?

  • FF prepares MBL & HBL
  • Exporter/importer handles the rest

Average Clearance Time:

  • Sea Freight: 3–5 working days
  • Air Freight: 2–3 days
  • Land Ports: 5–7 days

Case Example:
FMCG cargo got delayed due to bank not endorsing docs in time. It was resolved by persistent coordination between importer, bank & agent.

System Used: ASYCUDA (customs software)
– Reliable, but local relationships still matter for efficiency.

Role of Local Agent or CHA

CHA plays a non-negotiable role in Bangladesh logistics. Foreign FFs must rely on Bangladeshi CHA partners to manage clearances.

Clearance efficiency at various ports often depends on the strength of the CHA partner rather than port size.

Bonded, SEZ & EPZ Cargo

For EPZ (Export Processing Zones):

  • Export cargo gets cleared inside the zone
  • Import process is similar but with duty exemption

Your partner must understand bond permissions, SROs, and special zones’ documentation rules

General Compliance & International Readiness

Top Mistakes by Foreign FFs:

  • Choosing flashy local partners without practical customs experience
  • Overlooking proper declaration processes
  • Underestimating delays without local follow-through

Real Failure Case:
An electronics firm failed to declare return policy at import. Later, re-export was blocked and penalized due to missing primary declaration a mistake by CHA.

REAL CHALLENGES & NUANCES

Informal payment risk exists but mostly when documentation is incomplete.
With the right partner and compliant documentation, freight can move cleanly.

ASYCUDA is reliable but human intervention remains key for coordination.

FOREIGN FREIGHT FORWARDER READINESS

What foreign FFs really need:

  • Patience with bureaucracy
  • Flexible routing strategy
  • Experienced local partner with real field knowledge
  • Internal tax/VAT/legal support on the ground

Successful Partnership Traits:

  • Real industry work experience
  • Deep relationships with CHA, customs, port officials
  • Not overly prominent (less risk of internal disruption)

Optional: Investment Viability

Foreign FFs should consider JV setup when:

  • Monthly volumes from Bangladesh justify internal ops
  • They currently operate via fragmented local forwarders
  • They want licensing control, brand continuity, and compliance clarity

Setting up in Bangladesh isn’t just about paperwork it’s about navigating real systems with a team that understands the unwritten rules.

Foreign freight forwarders who build right partnerships, understand bonded trade, and embrace Bangladesh’s complex but evolving ecosystem will lead the next decade of South Asia’s logistics growth. Bitnex Crestfort
