Expanding Your Freight Forwarding Business to Bangladesh

Bangladesh is one of the fastest-growing economies in South Asia, offering lucrative opportunities for global freight forwarders. But to successfully enter this market, understanding the business landscape, regulations, and operational requirements is crucial. In this episode, we break down the step-by-step process of establishing a freight forwarding business in Bangladesh and explore the key business incentives available for foreign investors.

Business Registration: How to Get Started

Setting up a freight forwarding company in Bangladesh involves multiple steps, but the process is becoming easier due to government initiatives promoting foreign investment.

Step 1: Choosing the Right Business Structure

Freight forwarding businesses can be registered as:

    • Private Limited Company (Most Common) – Requires at least two shareholders and directors.
    • Branch Office – For foreign companies looking to operate under their existing entity.
    • Joint Venture – Often a preferred structure for global freight forwarders partnering with local businesses.

Step 2: Registering with the Registrar of Joint Stock Companies (RJSC)

    • Business Name Clearance from RJSC
    • Preparation of Memorandum & Articles of Association
    • Submission of company registration application
    • Obtaining the Certificate of Incorporation

Step 3: Licensing & Compliance

To legally operate in Bangladesh, freight forwarding companies need to obtain:

    • Freight Forwarding License from the Bangladesh Freight Forwarders Association (BAFFA) ✔ Import-Export Registration Certificate (IRC/ERC) from the Office of the Chief Controller of Imports & Exports
    • VAT Registration & Taxpayer Identification Number (TIN) from the National Board of Revenue (NBR)
    • Bonded Warehouse License (for companies involved in bonded logistics)

Government Incentives & Business-Friendly Policies

The Bangladeshi government is actively encouraging foreign investment in logistics and freight forwarding. Key incentives include:

    • Tax Holidays – Corporate tax exemptions for new businesses in certain industries and economic zones.
    • Special Economic Zones (SEZs) – Dedicated zones with tax breaks and business-friendly policies.
    • 100% Foreign Ownership Allowed in Most Industries – While many industries allow full foreign ownership, the logistics sector mandates having a local partner for operational and regulatory purposes.
    • Customs & Trade Facilitation Programs – Initiatives like the National Single Window (NSW) and automation in customs clearance reduce delays and improve ease of doing business.

Overcoming Market Entry Challenges

While Bangladesh is full of opportunities, foreign freight forwarding companies face some key challenges:

    • Local Partnerships are Mandatory – Unlike other industries that allow 100% foreign ownership, logistics companies must have a local partner to comply with regulations.
    • Human Resource Management – Skilled logistics professionals are essential for efficient operations. Recruiting and retaining the right team is crucial.
    • Adapting to Regulatory Changes – Trade and customs regulations evolve frequently, requiring a strong compliance strategy.

What’s Next?

Once a company is set up, the next big step is tapping into the growing freight forwarding market and unlocking major business opportunities. In the next episode, we’ll explore the freight forwarding landscape in Bangladesh, covering multimodal logistics, supply chain trends, and the growing demand for integrated logistics solutions.
